Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NexusLink platform and related services (the "Service"), operated by Report Nexus LLC ("Report Nexus", "we", "us"). By creating an account, subscribing, or using the Service, you agree to these Terms.

1. The Service

NexusLink is a multi-tenant application-hosting platform. It lets you deploy and run sites and APIs ("tenants") with first-party plugins for authentication, billing, messaging, and related capabilities. Features may change over time.

2. Accounts & eligibility

You must provide accurate account information and are responsible for activity under your account and for keeping your credentials secure. You must be able to form a binding contract to use the Service.

3. Subscriptions, billing & payment

• Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. Current pricing is shown on our pricing page.
• Tenant slots are billed per slot; optional add-ons (e.g. Priority Support) are billed in addition. Your subscription renews automatically until cancelled.
• You authorize us to charge your payment method for all fees due. Fees are exclusive of taxes, which you are responsible for where applicable.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.
• Business and enterprise arrangements may be billed by separate invoice under a signed services agreement rather than through the self-serve flow.

4. Acceptable use

You agree not to use the Service to: violate any law; infringe others' rights; distribute malware or engage in phishing; send unlawful or unsolicited bulk messages; attempt to gain unauthorized access to systems or data; or disrupt the platform or other tenants. We may remove content or suspend tenants that violate this section.

5. Your content & data

You retain ownership of the content, code, and data you deploy ("Customer Content"). You grant us the limited rights necessary to host, process, and operate your tenant. You are responsible for having the rights to your Customer Content and for its lawful use.

6. Availability

We aim to keep the Service available but provide it on a commercially reasonable, best-effort basis. Uptime commitments, if any, apply only where expressly stated in a Priority Support add-on or a signed agreement.

7. Suspension & termination

We may suspend or terminate access for non-payment, violation of these Terms, or to protect the platform. You may stop using the Service at any time. On termination, your right to use the Service ends; we may delete tenant data after a reasonable period.

8. Intellectual property

The Service, including the platform software and NexusLink brand, is owned by Report Nexus LLC and its licensors. These Terms grant you no rights in our intellectual property except the limited right to use the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPORT NEXUS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Report Nexus LLC from claims arising out of your Customer Content or your violation of these Terms or applicable law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of [STATE], without regard to conflict of law rules. Venue for disputes lies in the courts located in [COUNTY, STATE].
